By creating an account, accessing, or using the Service, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Keygrip is an SEO and content intelligence platform that provides tools for keyword research, content strategy, automated content generation, search engine optimization analysis, and related services. The specific features available to you depend on your subscription plan.

3. Account Registration and Security

To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately at support@keygrip.ai if you suspect unauthorized access

We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

4. Subscription Plans and Billing

4.1 Plans and Pricing

The Service is offered under various subscription plans as described on our pricing page. Pricing is subject to change with at least 30 days' advance notice to existing subscribers.

4.2 Payment

You agree to pay all fees associated with your selected plan. Payments are processed through our third-party payment provider. All fees are quoted in U.S. dollars unless otherwise stated.

4.3 Billing Cycle

Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected). Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date.

4.4 Refunds

Fees are generally non-refundable except as required by applicable law. If you believe you have been billed in error, please contact us at support@keygrip.ai within 30 days of the charge.

4.5 Free Trials

We may offer free trial periods at our discretion. At the end of a free trial, your account will be converted to a paid subscription unless you cancel before the trial expires.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with these Terms. You shall not:

• Use the Service to generate or distribute content that is illegal, defamatory, harassing, obscene, or infringes on third-party rights
• Attempt to gain unauthorized access to the Service, other accounts, or any systems or networks connected to the Service
• Use the Service to distribute malware, spam, or engage in phishing activities
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
• Use automated scripts or bots to access the Service in a manner that exceeds reasonable usage or impairs performance for other users
• Resell, sublicense, or redistribute the Service or access to it without our prior written consent
• Use the Service in any way that violates applicable local, state, national, or international laws or regulations

6. Intellectual Property

6.3 AI-Generated Content

Content generated by the Service's AI features is provided for your use subject to your subscription plan. You are responsible for reviewing, editing, and verifying the accuracy of all AI-generated content before publishing or distributing it. We do not guarantee the accuracy, completeness, or legal compliance of AI-generated content.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

We do not guarantee any specific results from the use of the Service, including but not limited to improvements in search engine rankings, website traffic, or content performance. SEO results depend on many factors outside our control.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KEYGRIP, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Keygrip and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any rights of a third party.

11. Termination

11.1 By You

You may cancel your subscription at any time through your account settings or by contacting support@keygrip.ai. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of your paid period.

11.2 By Us

We may suspend or terminate your account at any time if you violate these Terms or if we reasonably believe your use poses a risk to the Service or other users. We will make reasonable efforts to notify you before termination, except where immediate action is necessary.

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will make your data available for export for a period of 30 days following termination, after which we may delete it in accordance with our data retention policies.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

14. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Keygrip regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
